This ZEUS™ Access and Use Agreement (“Agreement”) is between you and Unity Impact Partners. It governs access to and use of ZEUS™ | A Strategic Intelligence, Decision Support, and Execution System, including its interfaces, features, workflows, documents, outputs, support, and related services (“ZEUS”).

By selecting the agreement checkbox and the accompanying acceptance or activation button, you confirm that you have reviewed and agree to this Agreement. If you do not agree, do not access or use ZEUS.

1. Eligibility and Authority

You must be at least 18 years old or the age of legal majority where you live and legally capable of entering this Agreement.

If you accept this Agreement for an organization, you represent that you are authorized to bind that organization. If you do not have that authority, you accept only in your individual capacity as a named user.

Organization-sponsored access may also be subject to the organization’s policies and its agreement with Unity Impact Partners.

2. Relationship to Other Terms

The Unity Impact Partners Privacy Notice explains how personal information is handled. The Unity Impact Partners Terms of Use governs the public website. PayPal’s terms govern your direct use of PayPal.

For a directly purchased offer, the offer, price, billing frequency, renewal terms, cancellation method, authorized user count, and access period presented during enrollment form part of the transaction record.

A later written enterprise or service agreement controls only where it expressly conflicts with this Agreement.

3. Authorized Access

Subject to payment or organizational authorization, this Agreement, and the applicable access term, Unity Impact Partners grants each authorized named user a limited, revocable, nonexclusive, nontransferable right to use ZEUS for authorized personal or internal business purposes. No ownership interest is transferred.

Access is limited to the authorized user count in the applicable purchase, entitlement, or organization record. Each named user must have an individual account and accept the current Agreement before access is activated. Access may not be shared, transferred, resold, sublicensed, or made available to another person.

4. Purchasers, Administrators, and Named Users

A purchaser must provide accurate enrollment and payment information and identify the initial named user.

An authorized administrator may add, remove, or replace named users within the authorized user count. Each named user must have an individual account and accept the current Agreement before access.

A request to increase the authorized user count requires Unity Impact Partners approval and acceptance of any applicable commercial terms before the additional account is activated.

Removing or replacing a user ends that person’s access but does not cancel the underlying purchase, subscription, license, or organization account.

5. Account Security

Provide accurate account information, protect your credentials, use required authentication measures, and do not permit another person to use your account.

Notify Unity Impact Partners promptly of suspected unauthorized access, credential compromise, inaccurate permissions, or misuse.

Unity Impact Partners may require credential changes, additional authentication, or other reasonable security measures as a condition of continued access.

6. Human Review and Decision Responsibility

ZEUS supports strategic intelligence, decision support, and execution. You remain responsible for reviewing ZEUS outputs and authorizing the decisions and actions taken from them.

ZEUS does not replace legal, tax, accounting, investment, medical, employment, regulatory, engineering, or other licensed professional advice. Obtain qualified professional guidance when required. Do not use ZEUS as the sole basis for decisions that determine another person’s legal rights or access to employment, credit, housing, education, health care, insurance, or essential services.

7. Acceptable Use

You may not:

  • use ZEUS unlawfully, fraudulently, deceptively, or to infringe, exploit, threaten, harass, discriminate against, or harm another person;
  • share credentials, bypass access or payment controls, resell access, or misrepresent identity, affiliation, authority, or approval;
  • probe, scan, disrupt, overload, introduce malicious code, defeat safeguards, or access systems, accounts, or information without authorization;
  • reverse engineer, decompile, scrape, systematically extract, or use automated means against ZEUS except as expressly authorized in writing or permitted by nonwaivable law;
  • use ZEUS or its protected materials to train or develop a competing model, platform, system, or service without written permission; or
  • submit information or content you do not have the right and authority to provide.

8. User Content

You retain the rights you hold in content you submit. You grant Unity Impact Partners and its authorized service providers a limited right to host, copy, process, transmit, display, and create outputs from that content only as reasonably necessary to provide, secure, support, and administer ZEUS or as otherwise permitted by an applicable written agreement.

You are responsible for having the rights, authority, permissions, and lawful basis needed to submit content and direct its use.

9. Confidential, Regulated, and Sensitive Information

Do not submit classified, controlled, regulated, or highly sensitive information, including controlled unclassified information, export-controlled information, Social Security numbers, full payment credentials, protected health information, student education records, or biometric identifiers, unless Unity Impact Partners has expressly authorized that category in writing and the required safeguards and agreement terms are in place.

Handle confidential information according to applicable legal, professional, contractual, and organizational responsibilities.

10. Privacy and Service Data

The Unity Impact Partners Privacy Notice applies to personal information processed in connection with ZEUS. Unity Impact Partners does not authorize client-confidential or personal information submitted to ZEUS to be used to train a public or generally available artificial intelligence model unless an applicable written agreement and an authorized client representative expressly permit it.

Where an organization sponsors access, authorized administrators may manage account status and permissions as described in the Privacy Notice and any organizational agreement.

11. Unity Impact Partners Property

ZEUS and its software, methods, frameworks, workflows, interfaces, designs, documentation, trademarks, service marks, and other Unity Impact Partners materials are owned by or licensed to Unity Impact Partners and protected by law.

Subject to this Agreement, you may use outputs created for you for authorized personal or internal business purposes, subject to third-party rights, confidentiality duties, and required review and approval. Unity Impact Partners does not warrant that an output is unique or eligible for intellectual-property protection.

12. Third-Party Services

ZEUS may rely on or connect with third-party services. Their terms and privacy notices govern your direct use of those services. Unity Impact Partners does not control independent third-party services and is not responsible for their content or availability except where responsibility cannot lawfully be excluded.

13. Access Term, Payment, and Cancellation

The offer, price, billing frequency, renewal terms, cancellation method, authorized user count, and access period are the terms presented and affirmatively accepted during enrollment. Unity Impact Partners is the seller and merchant of record for directly purchased ZEUS offers, and its authorized PayPal account receives payment.

Recurring charges may be processed only under terms presented before purchase and affirmatively accepted. Cancellation stops future charges when completed before the next charge is processed. Unless the enrollment terms state otherwise or law requires a different result, cancellation does not retroactively refund the completed billing period, and access continues through the paid period.

If payment fails or the authorized term ends, Unity Impact Partners may suspend or terminate access after applicable notice. Payment errors, duplicate charges, refunds, and disputes are administered under the enrollment terms, applicable law, and PayPal processes.

14. Service Changes, Suspension, and Termination

Unity Impact Partners may update ZEUS, correct errors, modify features, or discontinue a capability. Material changes affecting a paid service will be communicated through a reasonable method.

Unity Impact Partners may suspend or terminate access for material breach, nonpayment, security risk, unlawful activity, harm to another person, or risk to ZEUS. When practical and appropriate, notice and an opportunity to cure will be provided.

At the end of the authorized term, access ends unless renewed or extended. Available export, return, retention, deletion, or transition processes are governed by the Privacy Notice and any applicable written agreement.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEUS IS PROVIDED “AS IS” AND “AS AVAILABLE.” UNITY IMPACT PARTNERS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. UNITY IMPACT PARTNERS DOES NOT WARRANT THAT ZEUS WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT USE OF ZEUS WILL PRODUCE A PARTICULAR BUSINESS, PERSONAL, OR ORGANIZATIONAL RESULT.

This section applies only to the extent permitted by law. Any express commitment in a later written agreement controls to the extent it expressly conflicts with this section.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITY IMPACT PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO ZEUS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITY IMPACT PARTNERS’ TOTAL LIABILITY ARISING FROM OR RELATED TO ZEUS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT PAID TO UNITY IMPACT PARTNERS FOR THE ZEUS ACCESS GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

These limits do not apply to liability that cannot lawfully be limited. A later written agreement may state a different negotiated limit.

17. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold Unity Impact Partners and its owners, personnel, and authorized service providers harmless from third-party claims, losses, and reasonable costs arising from your unlawful use of ZEUS, your content, your material breach of this Agreement, or your violation of another person’s rights. This obligation does not apply to the extent that a claim results from Unity Impact Partners’ negligence, willful misconduct, or breach.

18. Governing Law and Disputes

Florida law governs this Agreement without regard to conflict-of-laws principles. Before filing a claim, each party will provide written notice describing the dispute and allow 30 days for good-faith resolution, unless immediate relief is reasonably necessary.

A proceeding not resolved informally must be brought in a Florida state or federal court with jurisdiction. Each party consents to that jurisdiction and venue. Consumer rights that cannot be waived remain in effect. This Agreement does not require arbitration or waive participation in a class action.

19. Electronic Acceptance and Records

You agree to receive this Agreement, disclosures, receipts, notices, and ZEUS service communications electronically. Keep your email address current and retain copies for your records.

Unity Impact Partners may retain your electronic acceptance with the Agreement version, date and time, account identifier, and related transaction or organizational authorization record as evidence of agreement.

20. Changes to This Agreement

Unity Impact Partners may revise this Agreement for legal, security, operational, or service changes. The updated version will show a new effective date. Material changes will be communicated through an appropriate method and will require renewed affirmative acceptance when they materially affect user rights or responsibilities.

21. General Terms

If a provision is unenforceable, it will be modified only as necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign this Agreement without written consent. Unity Impact Partners may assign it as part of a merger, reorganization, financing, or transfer of the relevant business or assets.

This Agreement, the Privacy Notice, the recorded enrollment terms, and any later applicable written agreement form the complete agreement concerning ZEUS access and use.
